TERMS OF SERVICE

Effex Technologies Limited (trading as “Chatlyst”) provides an omnichannel customer service platform powered by Generative AI. These Terms of Service (“Terms”) govern the access or use by you of applications, websites, content, products, and services (the “Services”) made available by Chatlyst.

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING OUR SERVICES.

1. Definitions and Interpretation

1.1. In these Terms, the following definitions apply:

“We”, “Our”, “Us”, “Chatlyst” refers to Effex Technologies Limited, a company incorporated in Hong Kong.

“You”, “Customer” refers to the individual or legal entity accessing or subscribing to the Services.

“Services” means the SaaS platform, API integrations, and AI-powered automation tools provided by Chatlyst.

“AI Output” means any text, images, or responses generated by the artificial intelligence models integrated into the Services.

“Customer Data” means data, knowledge base articles, chat logs, and instructions provided by You to Us for the purpose of training or prompting the AI.

“Credits” means the prepaid units or currency used within the platform to pay for AI usage, messages, or subscription time.

1.2. Headings are for convenience only and do not affect interpretation.

2. The Services

2.1. Nature of Service: Chatlyst provides a technology platform that integrates third-party Large Language Models (LLMs) and communication channels to facilitate customer service automation. 2.2. Intermediary Role: You acknowledge that We act as an intermediary and interface between You, Your end-customers, and third-party AI providers (such as OpenAI, Anthropic, or others). We do not create the underlying AI models and do not guarantee their behavior. 2.3. Modifications: We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time with or without notice.

3. Customer Obligations and Data Training

3.1. Responsibility to Provide Data: You acknowledge that the efficacy of the AI is strictly dependent on the quality of data provided by You. It is Your sole responsibility to provide all relevant, accurate, and comprehensive data (including knowledge bases, FAQs, and product details) necessary for the AI to learn and function correctly. Chatlyst is not liable for poor AI performance resulting from insufficient or inaccurate Customer Data. 3.2. Human-in-the-Loop & Monitoring: You agree that AI technology is experimental and prone to errors. You shall actively review, supervise, and monitor all conversations and AI Outputs generated by the Services. You are solely responsible for verifying the accuracy of any AI Output before it is relied upon by You or Your end-customers. 3.3. Account Security: You must safeguard your login credentials. We assume that any person using your account is authorized by You. 3.4. Prohibited Use: You shall not use the Services to generate content that is illegal, defamatory, fraudulent, or harmful, nor shall You attempt to reverse engineer the AI models.

4. AI Disclaimer and No Warranties

4.1. No Performance Guarantee: Chatlyst does not guarantee the performance, uptime, or availability of the AI models. You acknowledge that the AI may produce latency, timeout, or fail to respond due to high demand or third-party provider outages. 4.2. No Accuracy Guarantee (Hallucinations): You acknowledge that Generative AI can produce "hallucinations" (false, misleading, or nonsensical information presented as fact). Chatlyst makes no representation or warranty regarding the accuracy, truthfulness, completeness, or reliability of any response generated by the AI. 4.3. "As Is" Service: The Services are provided “as is” and “as available.” Chatlyst disclaims all representations and warranties, express, implied, or statutory, including the implied warranties of merchantability and fitness for a particular purpose.

5. Payment, Credits, and Refunds

5.1. Non-Refundable: All purchases of subscriptions, top-ups, and Credits are final and strictly non-refundable under any circumstances, including but not limited to termination of service or dissatisfaction with AI performance. 5.2. Credit Expiry: Unused Credits will automatically expire thirty (30) months from the date of purchase. It is Your responsibility to utilize Credits before they expire. Expired Credits will not be reinstated or refunded. 5.3. Rate Changes: We reserve the right to revise pricing and Credit consumption rates for the Services at any time.

6. Indemnification

6.1. You agree to indemnify, defend, and hold harmless Chatlyst, its officers, directors, employees, and agents from any and all claims, demands, losses, liabilities, and expenses (including legal fees) arising out of or in connection with:

(a) Your use of the Services;

(b) Your breach or violation of any of these Terms;

(c) Any AI Output generated by the Services on your behalf, including but not limited to:

(i) Misrepresentation: The AI providing false information about your products, services, or pricing;

(ii) Unauthorized Promises: The AI making promises, contracts, or offers to your end-customers (e.g., offering free products or discounts) that you did not intend;

(iii) Defamation or Offense: The AI generating offensive, racist, or defamatory content.

(d) Any violation of the rights of any third party, including your end-customers, by You or the AI.

6.2. Sole Liability: You agree that any liability arising from the AI's interaction with your end-customers rests solely with You. You accept full responsibility for honoring or rectifying any statements made by the AI to your end-customers.

7. Limitation of Liability

7.1. Cap on Damages: To the maximum extent permitted by applicable law, Chatlyst’s total cumulative liability to You for any claims arising out of or relating to these Terms or the Services—whether in contract, tort (including negligence), strict liability, or otherwise—shall be limited to the amount paid by You to Chatlyst for the use of the Services in the six (6) months prior to the event giving rise to the claim. 7.2. Exclusion of Damages: In no event shall Chatlyst be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, loss of goodwill, or business interruption, even if We have been advised of the possibility of such damages. 7.3. Force Majeure: We shall not be liable for delay or failure in performance resulting from causes beyond our reasonable control, including internet outages, failure of third-party AI providers (e.g., OpenAI API outage), acts of God, or government actions.

8. Intellectual Property

8.1. Ownership: Chatlyst retains all rights to the Platform, the software, and the proprietary prompt engineering techniques used. 8.2. Customer Content: You retain ownership of the data you upload. However, you grant Chatlyst a worldwide, royalty-free license to use, host, and process such data for the purpose of providing the Services and improving our AI models.

9. Governing Law and Jurisdiction

9.1. These Terms shall be governed by and construed in accordance with the laws of Hong Kong. 9.2. Both You and Us agree to submit to the exclusive jurisdiction of the courts of Hong Kong Special Administrative Region regarding any dispute or matter arising under these Terms.
